These Terms of Use are the terms and conditions for accessing the VendorDemo.com site and its various related services (together referred to as the "site"). VendorDemo.com is the provider of the site (referred to as "VendorDemo", "us" or "we"). Please read the information below to learn the following regarding your use of this site.

You acknowledge that by using the site, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these Terms, please promptly exit this site.

We reserve the right to change these Terms at any time. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof by posting the revised Terms on this page. You acknowledge and agree that it is your responsibility to maintain a valid e-mail address as a registered vendor and to review this site and these Terms of Use.

Vendor Account

You are required to establish a vendor account in order to upload your demos, webinars, or other information relating to your products or services to the Site or to share potential buyer information from the Site. You must provide complete and accurate information and your use of the site is subject to our approval. Your vendor account may be subject to an account fee, such as a premium account. We reserve the right to cancel your account for any reasons, including but not limited to breach of these Terms or failure to make payments. We also reserve the right to requiring you to enter into a separate vendor agreement with us regarding your use of the Site.

For time to time, we may offer Beta Period, a free three months trial period, for first time users. We reserve the right to modify pricing upon a thirty-day notice.

You acknowledge that we do not guarantee the accuracy of information provided by third party buyers or users of the Site.

Privacy Policy

Information voluntarily provided by you is governed by our privacy policy posted on the site. Please review our privacy policy before you proceed to use this Site.

Restrictions on Use

All information and materials made available on this Site are the property of VendorDemo, its affiliates, or other third party contributors. The Site is protected by federal and international copyright and trademark laws. No portion of the materials on these pages may be reprinted, republished, modified, or distributed in any form without the express written permission from the respective owners for your own personal use or the internal use of your business. You shall keep intact any proprietary notices, including copyright notices, contained on any downloaded materials. Any rights not expressly granted by these Terms of Use or any applicable end user license agreements are reserved by VendorDemo. All trademarks, service marks and logos used in this Site are the trademarks, service marks or logos of their respective owners.

When uploading your information, you agree not to modify or alter any part of the site, including but not limit to VendorDemo's Embeddable Player or any other related technologies.

Release

VendorDemo is not a party to any agreements entered into between you and any third parties, who may include buyers or users of the Site, and VendorDemo has no control over the quality of products, services or performances provided by those third parties. You agree that you release VendorDemo, its parent company, directors, officers, employees or agents from all claims, demands and damages of every form, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in anyway connected with your relationship with or actions with these third parties. VendorDemo shall also not be liable for any claims or actions brought by any third parties against you.

Content

You acknowledge that any and all information voluntarily contributed by you, including but not limited to demos, webinars, reviews, comments, suggestions, ideas, questions, know-how, techniques, texts, graphics ("collectively, "Content"), is and will not be considered as confidential or proprietary. You acknowledge that any and all Content provided by you does not contain information that is defamatory, illegal, infringing on any intellectual property rights, or injurious to any party. By voluntarily contributing your Content to the Site, you grant VendorDemo and its affiliates a non-exclusive, perpetual, royalty-free, worldwide, licensable, and irrevocable right to use, publish, distribute, translate, create derivative works, adapt, sell, perform, reproduce, reverse-engineer, recompile, modify, and display Content. You also grant VendorDemo and its affiliates the right to use the name you submit in association with your Content and the right, but not obligation, to remove or edit your Content for any reason.

You warrant and represent that you have the ownership or right to your Content on this site, that you do not provide false or misleading Content, that you do not provide Content that is injurious to any party, and that you will indemnify VendorDemo, its parent company, or affiliates for defending any claims as the result of your Content. You are solely responsible for your Content; VendorDemo and its affiliates assume no liability for your Content.

Any disputes, controversies or claims arising out of or relating to these Terms shall be settled by arbitration conducted in the San Mateo County, California in accordance with the Commercial Arbitration Rules of the American Arbitration Association and judgment upon the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. In any action to enforce these Terms and Conditions, the prevailing party will be entitled to costs and attorney fees. Pending completion of arbitration, VendorDemo or you may seek any interim or preliminary relief from a court of competent jurisdiction in San Mateo County, California, necessary to protect the rights or the property of you or VendorDemo, its parent company, directors, officers, employees, or agents. You and VendorDemo agree to bring any claims arising out of or relating to these Terms within one (1) year after the claim accrues or such claim is permanently barred.

No Unlawful or Prohibited Purpose

As a condition of your use of this Site, you warrant to VendorDemo that you will not use the Site for any purpose that is unlawful or prohibited by these Terms and Conditions.

Entire Agreement

These Terms constitute the entire agreement between VendorDemo and you pertaining to the subject matter of this Agreement. You acknowledge that you are over 18 years old or possess legal parental or guardian consent and are competent to enter into and comply with these Terms. This Agreement is not assignable or transferable by you but may be assigned by VendorDemo without any restriction. In its sole discretion, VendorDemo may modify these Terms by posting the revised version on this Site at any time it deems necessary.
